Terms of Service

Introduction
These Terms of Service ("Terms") govern your access to and use of SyproFlow ("the Service", "we", "us", "our"), a software platform operated by SyproOne Solutions Pvt Ltd, a company incorporated under the laws of India ("the Company"). By registering for, accessing, or using SyproFlow, you ("the User", "you") agree to be bound by these Terms. If you do not agree, you must not use the Service.
Description of the Service
SyproFlow is an AI-powered document-extraction platform that reads business documents (such as invoices, bills, and customs documents), converts them into structured data, allows the user to review and edit that data, and enables the user to push the data into accounting or business software such as Tally Prime. The Service is provided on a "software as a service" basis and is accessed via a web application and associated components (including, where applicable, a locally installed connector on the User's computer).
Eligibility and Accounts
You must be at least 18 years old and capable of entering into a binding contract to use the Service. You may register as an individual or on behalf of an organisation. Where you register on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms.
Access is via one-time password (OTP) sent to your registered email address. You are responsible for maintaining the security of the email account associated with your registration, and for all activity that occurs under your account. You must provide accurate, current, and complete information during registration and keep it updated.
Credits and Payment
The Service operates on a prepaid-credit model. You purchase credits in advance, and each extraction or operation consumes credits according to the applicable rate for the document type or processing tier selected.
Prices and credit rates are displayed within the Service and may be updated from time to time. Any change to rates will apply to purchases made after the change.
Payments are processed through third-party payment gateways; by making a payment, you also agree to the terms of the applicable payment processor. All fees are exclusive of applicable taxes unless stated otherwise. Refunds are governed by our Refund & Cancellation Policy.
Acceptable Use
You agree that you will not:
- use the Service for any unlawful purpose or in violation of any applicable law;
- upload documents or data that you do not have the right to upload or process;
- attempt to gain unauthorised access to the Service, other users' data, or the Company's systems;
- interfere with, disrupt, or overload the Service;
- reverse-engineer or attempt to extract the source code of the Service, except as permitted by law;
- use the Service to process fraudulent, infringing, or unlawful content; or
- resell, sublicense, or provide the Service to third parties except as expressly permitted in writing by the Company.
Your Data and Documents
You retain ownership of the documents and data you upload ("User Content"). You grant the Company a limited licence to process your User Content solely to provide the Service to you. Our handling of your data is described in the Privacy Policy.
You are responsible for the accuracy of the data you upload and for reviewing the extracted output before relying on it or pushing it to any accounting or business system. The final responsibility for the accuracy of data posted to your systems rests with you.
Accuracy and No Professional Advice
SyproFlow uses artificial intelligence to extract and structure data. While we strive for high accuracy, AI-based extraction is not guaranteed to be error-free, and you must review extracted data before use. The Service is a data-processing tool and does not provide accounting, taxation, legal, customs, or other professional advice. You remain responsible for compliance with all applicable requirements.
Service Availability
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. The Service may be unavailable from time to time due to maintenance, updates, or factors beyond our reasonable control. We may modify, suspend, or discontinue any part of the Service at any time.
Intellectual Property
The Service, including all software, design, text, and branding (excluding your User Content), is owned by the Company and protected by intellectual-property laws. These Terms do not grant you any rights in the Company's intellectual property except the limited right to use the Service in accordance with these Terms.
Limitation of Liability
To the maximum extent permitted by applicable law:
- the Service is provided "as is" and "as available", without warranties of any kind;
- the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business; and
- the Company's total aggregate liability arising out of or relating to the Service shall not exceed the amount of fees paid by you to the Company in the three (3) months preceding the event giving rise to the claim.
Indemnity
You agree to indemnify and hold harmless the Company and its directors, officers, and employees from any claims, damages, or expenses arising out of your use of the Service, your User Content, or your breach of these Terms.
Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, provisions that by their nature should survive (including intellectual property, limitation of liability, and indemnity) shall survive.
Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance.
Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts at Mumbai, India.
